If this is a U.S. business, and it is not paying foreign income tax, you would look at the same considerations as other businesses. If all owners are US residents or citizens, it could be an S Corporation. You can potentially reduce your self employment tax with this structure. See http://huddlestontax.com/id16.html. There is more flexibility and there may be less administration (if there is only one owner) with an LLC.
